DemandFlow – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DemandFlow software platform, website, and related services (collectively, the “Service”), which are owned and operated by TOCLOCO LTD (“we,” “us,” or “our”).

By accessing or using the Service, you (“you” or “User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not use the Service.

1. About DemandFlow

DemandFlow is an enterprise resource planning (ERP) application designed for telecommunications and engineering organizations to manage demand, projects, portfolios, finances, and resource planning.

The Service is provided and maintained by TOCLOCO LTD, a company registered in England and Wales with registered number 09950859 and registered office at 71-75 Shelton St, London WC2H 9JQ, England.

2. Eligibility

You may use the Service only if you:

  • Are at least 18 years of age;

  • Have the legal capacity to enter into a binding agreement; and

  • Are using the Service on behalf of a company, organization, or other legal entity with authority to bind that entity to these Terms.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration;

  • Maintain the security of your password and credentials;

  • Notify us immediately of any unauthorized access or use of your account; and

  • Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate any account that violates these Terms.

4. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Attempt to access, copy, modify, or distribute any part of the Service except as expressly permitted;

  • Use the Service to store or transmit any unlawful, infringing, or harmful content;

  • Reverse engineer or decompile any part of the Service;

  • Interfere with the operation or security of the Service; or

  • Use the Service for benchmarking or developing competing products.

5. Intellectual Property

All rights, title, and interest in the Service-including software, databases, interfaces, designs, logos, trademarks, and content-are owned or licensed by TOCLOCO LTD.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business purposes, in accordance with these Terms.

No rights are granted except as expressly stated herein.

6. Data and Privacy

Your data remains your property. By using the Service, you grant TOCLOCO LTD a limited license to host, process, and display your data as necessary to provide the Service.

We handle personal data in accordance with our Privacy Policy, which forms part of these Terms.

You are responsible for ensuring that any data you input or upload complies with applicable data protection laws, including obtaining any required consents.

7. Service Availability and Updates

We aim to provide continuous and reliable access to the Service, but we do not guarantee uninterrupted or error-free operation.

We may update, modify, or discontinue features from time to time. Where changes are material, we will provide reasonable advance notice.

8. Fees and Payment

Use of certain features of the Service may require payment. All fees are as specified in your order or subscription agreement and are payable in accordance with the stated billing terms.

Late payments may result in suspension of access to the Service. All fees are non-refundable unless required by law.

9. Termination

You may stop using the Service at any time. TOCLOCO LTD may suspend or terminate your access to the Service if you breach these Terms or engage in unlawful or abusive behavior.

Upon termination, your license to use the Service will end immediately. We may retain or delete data in accordance with our data retention policy and legal obligations.

10. Warranties and Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

TOCLOCO LTD expressly disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will meet your requirements, operate without interruption, or be free of errors or security vulnerabilities.

11. Limitation of Liability

To the maximum extent permitted by law:

  • TOCLOCO LTD shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities; and

  • Our total liability arising from or relating to these Terms shall not exceed the amount you have paid for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless TOCLOCO LTD, its directors, employees, and affiliates from and against any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to its conflict of law principles.

Any disputes shall be resolved in the courts of England and Wales, which shall have exclusive jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on the Service, and the “Last Updated” date will be revised accordingly.

Continued use of the Service after the update constitutes acceptance of the new Terms.
